TERMS OF SERVICE & CATERING TERMS

Red River Steakhouse > TERMS OF SERVICE & CATERING TERMS

Effective Date: August 20, 2026
Last Updated: August 20, 2026

Welcome to Red River Steakhouse. These Terms of Service (“Terms”) govern your use of the Red River Steakhouse website, online ordering services, loyalty and promotional programs, catering services, communications, and other products or services that link to these Terms (collectively, the “Services”).

For purposes of these Terms, “Red River Steakhouse,” “Red River,” “we,” “us,” or “our” means WGF Enterprises Inc. and/or the applicable affiliated entity operating a Red River Steakhouse location or providing the applicable Service.

By accessing or using the Services, placing an order, joining a promotional or loyalty program, or booking catering services, you agree to these Terms.

If a signed catering proposal, event order, invoice, or other written agreement contains terms that conflict with these Terms, the signed or specifically agreed catering document will control with respect to that event.

1. Eligibility and Use of the Services

You may browse our website without creating an account. To make purchases, book catering services, or enter into contracts with us, you must be at least 18 years old or otherwise have legal capacity to enter into a binding agreement.

You agree to provide accurate, current, and complete information when placing orders, making reservations, requesting catering, joining programs, or communicating with us.

You may not use the Services:

  • for unlawful or fraudulent purposes;
  • to interfere with the operation or security of our website or systems;
  • to gain unauthorized access to accounts, systems, or information;
  • to copy, scrape, reproduce, or commercially exploit website content without permission;
  • to impersonate another person or misrepresent your identity; or
  • in any manner that violates applicable law or the rights of Red River Steakhouse or others.

2. Menus, Pricing, and Availability

Menu items, pricing, portions, specials, promotions, hours, ingredients, and availability may differ by location and may change without notice.

We make reasonable efforts to display accurate information, but typographical errors, technical errors, outdated information, ingredient substitutions, and availability changes may occur.

If an obvious pricing or menu error affects an order, we may contact you to correct the order or cancel the affected item and provide an appropriate refund.

Taxes, delivery fees, service charges, gratuities, catering fees, third-party platform fees, and other applicable charges may be added where disclosed.

3. Online, Pickup, and Takeout Orders

An order is not accepted until it has been confirmed by Red River Steakhouse or the applicable ordering platform.

We may decline or cancel an order because of:

  • item unavailability;
  • inaccurate pricing or menu information;
  • payment authorization problems;
  • suspected fraud;
  • restaurant closure or operational limitations;
  • severe weather, equipment failure, or other circumstances affecting our ability to fulfill the order; or
  • other reasonable business or safety concerns.

If we cancel a prepaid order that we cannot fulfill, we will refund the amount charged for the cancelled items.

Customer Cancellations

Contact the applicable restaurant as soon as possible if you need to cancel or change an order.

Once food preparation has begun, we may be unable to cancel the order or issue a refund. Refunds or replacements for order errors or quality concerns will be evaluated reasonably based on the circumstances.

Customers should report missing, incorrect, or materially unsatisfactory items promptly, preferably on the same day the order is received.

4. Delivery and Third-Party Ordering Services

Some orders may be placed or delivered through third-party platforms.

Third-party platforms may have their own terms, fees, refund policies, privacy practices, delivery procedures, and service limitations. Red River Steakhouse is not responsible for a third party’s independent acts or omissions, except to the extent required by law.

Once an order has been transferred to an independent delivery provider, delivery timing may be affected by traffic, weather, driver availability, road conditions, and other factors outside our reasonable control.

5. Payment

By providing a payment method, you represent that you are authorized to use it and authorize the applicable charges associated with your order or service.

Payment processing may be performed by third-party payment processors. Red River Steakhouse generally does not need to receive or store complete payment-card numbers when a third-party processor handles the transaction.

You are responsible for applicable taxes, fees, and other charges shown before or at the time your purchase is finalized.

6. Food Allergies and Dietary Requirements

Our kitchens prepare foods containing common allergens, including but not limited to milk, eggs, wheat, soy, peanuts, tree nuts, fish, shellfish, and sesame.

Although we will make reasonable efforts to accommodate disclosed dietary needs, we cannot guarantee that any menu item is completely free from a particular allergen or from cross-contact.

Customers with a food allergy or serious dietary restriction should notify Red River Steakhouse before ordering and should speak directly with restaurant or catering personnel regarding their needs.

Ingredient information can change because of supplier substitutions, recipe changes, or product availability.

7. Alcoholic Beverages

Where alcoholic beverages are sold or served, all sales and service are subject to applicable Texas law and alcoholic-beverage regulations.

You must be at least 21 years old and may be required to present valid government-issued identification.

We reserve the right to refuse alcohol service to anyone who:

  • cannot provide acceptable proof of age;
  • appears intoxicated;
  • attempts to purchase alcohol for a minor or intoxicated person; or
  • otherwise cannot legally be served.

Alcohol purchased for on-premises consumption may not be removed except as permitted by law.

Catering involving alcohol is subject to the additional provisions in Section 14.

8. Gift Cards and Promotional Certificates

Gift cards, promotional certificates, coupons, and similar offers are subject to any additional conditions disclosed when issued.

Unless otherwise stated or required by law:

  • promotional offers have no cash value;
  • offers may not be combined;
  • photocopies or unauthorized reproductions may be rejected;
  • promotions may be limited to participating locations, specified items, dates, or service types; and
  • lost or stolen promotional certificates may not be replaceable.

Purchased gift cards will be administered in accordance with applicable law and any terms provided at purchase.

9. Birthday Club, Loyalty Programs, and Promotions

Red River Steakhouse may offer birthday rewards, loyalty programs, giveaways, discounts, and promotional offers.

Program benefits may vary and may be subject to additional disclosed terms, including expiration dates, eligible purchases, participating locations, identification requirements, or redemption restrictions.

Unless otherwise stated:

  • memberships are personal and nontransferable;
  • one membership may be permitted per person;
  • rewards have no cash value;
  • rewards may not be sold or transferred; and
  • fraudulent or abusive accounts may be suspended or terminated.

We may modify or discontinue a promotional or loyalty program prospectively, subject to applicable law.

Participation in a loyalty or birthday program does not require consent to receive marketing text messages unless expressly disclosed.

10. Email Communications

If you subscribe to promotional emails, we may send information about offers, events, menu items, rewards, and Red River Steakhouse news.

Marketing emails will include an unsubscribe method as required by applicable law. Transactional communications concerning orders, catering bookings, account activity, or requested customer service may still be sent when necessary.

11. SMS/Text Messaging Terms

If you separately opt in to receive promotional text messages from Red River Steakhouse:

  • consent is optional and is not a condition of purchase;
  • message frequency may vary;
  • message and data rates may apply;
  • reply STOP to cancel;
  • reply HELP for help; and
  • mobile carriers are not responsible for delayed or undelivered messages.

Your consent applies only to the text-messaging program for which you enrolled.

You may withdraw consent at any time using the applicable opt-out instructions.

Red River Steakhouse may change, suspend, or discontinue a messaging program subject to applicable law.

12. Intellectual Property

The Red River Steakhouse name, logos, trademarks, photographs, graphics, menus, website design, text, and other content owned by Red River Steakhouse are protected by applicable intellectual-property laws.

You may use our website for personal, noncommercial purposes. No ownership rights are transferred to you.

You may not reproduce, modify, publish, distribute, sell, license, or commercially use our protected content without permission.

13. Third-Party Websites and Services

Our Services may contain links or integrations involving third-party websites, social networks, ordering services, payment processors, maps, advertising platforms, or other services.

We do not control and are not responsible for the content, availability, security, terms, or privacy practices of independent third parties.

14. CATERING TERMS

This Section applies to catering, group orders, off-premises food service, delivery catering, staffed events, and other event services provided by Red River Steakhouse.

A catering proposal, catering order, banquet event order, quote, invoice, or written confirmation may contain additional event-specific terms.

14.1 Quotes and Estimates

Catering prices are based on factors such as:

  • menu selection;
  • estimated guest count;
  • event location;
  • service style;
  • delivery distance;
  • setup requirements;
  • staffing;
  • equipment and rentals;
  • event duration; and
  • requested additional services.

Unless a quote states otherwise, a catering quote is valid for 14 calendar days.

Prices may be adjusted before booking if the scope of the event changes.

14.2 Booking and Reservation Retainer

An event date is not reserved until Red River Steakhouse has:

  1. accepted the event;
  2. received any required signed proposal or written confirmation; and
  3. received a 25% reservation retainer, unless a different amount is stated in the catering proposal.

The reservation retainer will be credited toward the final catering balance but is generally nonrefundable because it reserves the event date and supports advance planning and preparation.

Events booked close to the event date may require a larger payment or payment in full.

14.3 Final Guest Count

The final guaranteed guest count is due 7 calendar days before the event, unless the catering proposal specifies a different deadline.

The final guaranteed count is the minimum number of guests for which the customer will be charged, even if fewer guests attend.

If the customer does not provide a final count by the deadline, the most recent confirmed estimated guest count may become the guaranteed count.

Requests to increase the guest count after the deadline are subject to availability and additional charges.

We cannot guarantee food or service for guests above the confirmed count.

14.4 Menu and Event Changes

Final menu selections, dietary requirements, delivery instructions, service details, and major event changes must generally be provided at least 7 calendar days before the event.

Changes requested after the deadline:

  • are subject to availability;
  • may require substitutions;
  • may increase pricing, labor, delivery, or rush charges; and
  • may not be possible.

All changes should be confirmed in writing.

14.5 Final Payment

Unless otherwise stated in writing, the remaining catering balance is due 3 business days before the event.

Events booked within 3 business days may require payment in full when the order is confirmed.

Approved business or corporate accounts may receive separate invoicing terms if agreed in writing.

Failure to make required payments may result in suspension or cancellation of catering services.

14.6 Catering Cancellation Policy

Cancellations must be communicated in writing.

Unless different terms appear in the catering proposal:

Cancellation 15 or More Calendar Days Before the Event

The customer is responsible for the 25% reservation retainer plus any noncancelable third-party expenses or specially purchased items.

Amounts paid beyond those charges will be refunded.

Cancellation 8–14 Calendar Days Before the Event

The customer is responsible for 50% of the estimated catering total or the reservation retainer plus noncancelable costs, whichever is greater.

Cancellation 7 or Fewer Calendar Days Before the Event

The customer is responsible for 100% of the confirmed catering total.

These cancellation charges reflect food purchasing, staffing commitments, preparation, lost booking opportunities, and other costs associated with reserving and preparing for the event.

14.7 Rescheduling

A customer requesting to reschedule at least 14 calendar days before the event may request one transfer of the reservation to another available date within six months.

Rescheduling is:

  • subject to availability;
  • subject to current pricing and menu availability; and
  • subject to payment of nonrecoverable expenses already incurred.

The reservation retainer may be transferred to the new date when Red River Steakhouse approves the rescheduling request.

A request made within 14 days of the event may be treated as a cancellation unless otherwise agreed in writing.

14.8 Delivery, Access, and Setup

The customer is responsible for providing complete and accurate delivery and venue information.

The customer must ensure that Red River Steakhouse has reasonable access to the event location at the agreed time, including any necessary:

  • loading access;
  • parking;
  • elevators;
  • electrical service;
  • water;
  • tables or staging areas;
  • venue approvals; and
  • permits or permissions that are the customer’s responsibility.

Additional fees may apply for unusual access conditions, extended carrying distances, stairs, remote locations, parking expenses, delayed access, additional setup, or services outside the agreed scope when disclosed and approved as appropriate.

14.9 Service Times and Staffing

Staffing and service duration will be based on the catering proposal.

Additional service time, additional staff, or services requested on the event date may result in additional charges if we are able to accommodate the request.

The customer is responsible for timely access to the venue so that setup can occur as scheduled.

14.10 Equipment and Rentals

Serving equipment, chafing dishes, linens, tables, décor, china, glassware, utensils, or other rentals are included only when specifically stated.

Customer responsibility for rented or loaned property continues until the property is returned or collected.

The customer may be charged the reasonable replacement or repair cost for equipment lost or damaged by the customer, the venue, or event guests, ordinary wear and damage caused by Red River Steakhouse personnel excepted.

14.11 Taxes, Service Charges, and Gratuities

Applicable sales tax will be added as required by law.

Delivery fees, service charges, staffing charges, rental charges, gratuities, or other fees will be separately disclosed when applicable.

A service charge is not a gratuity for employees unless the catering proposal specifically states that it is.

Customers may provide additional gratuity where permitted.

14.12 Allergies and Dietary Restrictions

Customers must communicate known food allergies and significant dietary restrictions before the final event deadline.

We will make reasonable efforts to accommodate disclosed needs, but Red River Steakhouse kitchens and catering operations are not allergen-free environments, and cross-contact cannot be guaranteed to be eliminated.

Customers are responsible for communicating relevant allergen information to their guests.

14.13 Food Safety and Leftovers

Red River Steakhouse will handle food in accordance with applicable food-safety requirements while the food remains under our control.

For delivery or pickup catering, responsibility for safe holding, storage, temperature control, and service transfers to the customer once the food is delivered or picked up.

For staffed events, responsibility for food remaining after the agreed service period transfers to the customer when our service ends.

Leftovers may be provided when appropriate and permitted, but we cannot guarantee the safety or quality of food after it leaves our control.

Perishable food should not remain at unsafe temperatures and should be discarded when food-safety guidelines require it.

14.14 Alcohol at Catered Events

Alcohol service is included only when specifically agreed in writing and when legally permitted.

Any alcohol service performed by Red River Steakhouse is subject to licensing requirements and applicable Texas Alcoholic Beverage Commission rules.

We may require identification and may refuse service to minors, intoxicated individuals, or any person who cannot legally be served.

The customer and venue are responsible for compliance relating to alcohol that is independently purchased, supplied, or served by the customer, venue, or another vendor.

Outside alcohol may not be combined with Red River Steakhouse alcohol service when doing so would violate law, permit conditions, or venue requirements.

14.15 Venue Conditions and Customer Responsibility

The customer is responsible for ensuring that the event venue is reasonably safe and legally available for the requested services.

The customer is responsible for damage caused by the customer or the customer’s guests to Red River Steakhouse equipment or property.

Red River Steakhouse remains responsible for damage directly caused by the negligent acts of our personnel to the extent required by law.

14.16 Event Delays

If an event begins late for reasons outside Red River Steakhouse’s control, we will make reasonable efforts to provide the contracted service, but scheduled staffing or service periods may still end at the agreed time unless an extension is available.

Additional labor charges may apply to approved extensions.

14.17 Force Majeure

Neither party will be responsible for failure or delay caused by circumstances beyond that party’s reasonable control, including severe weather, fire, flood, natural disaster, road closure, utility failure, government order, epidemic, public emergency, labor disruption, or similar events.

If such an event prevents Red River Steakhouse from reasonably performing the catering services, the parties will attempt in good faith to reschedule the event.

If rescheduling is not practical, Red River Steakhouse will refund or credit amounts paid for services not provided, less reasonable nonrecoverable third-party costs or specially purchased items, to the extent permitted by law.

14.18 Cancellation by Red River Steakhouse

If Red River Steakhouse cancels an event for reasons other than the customer’s breach or a force-majeure event, we will refund amounts paid for the cancelled services or, with the customer’s agreement, apply them to a rescheduled event.

Our liability for such a cancellation will not exceed amounts paid to us for the affected services except where applicable law requires otherwise.

15. Disclaimers

We work to keep our Services accurate and available, but websites, online-ordering systems, telecommunications services, and third-party platforms may occasionally be unavailable or contain errors.

To the fullest extent permitted by law, the Services are provided on an “as available” basis without warranties not expressly stated in these Terms.

Nothing in these Terms limits warranties, remedies, or other rights that cannot legally be waived.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Red River Steakhouse will not be liable for indirect, incidental, special, exemplary, or consequential damages arising from use of the website or Services.

For a claim arising from a particular paid order or catering event, Red River Steakhouse’s aggregate contractual liability will not exceed the amount paid to Red River Steakhouse for the order or event giving rise to the claim.

These limitations do not apply to liability that cannot legally be limited, including liability arising from fraud, willful misconduct, gross negligence, or other non-waivable obligations.

17. Customer Responsibility and Indemnification

To the extent permitted by law, you agree to be responsible for losses, claims, or expenses resulting from your unlawful use of the Services, your material breach of these Terms, or conditions under your control at a catered event.

This provision does not require you to indemnify Red River Steakhouse for losses caused by Red River Steakhouse’s own negligence, willful misconduct, or violation of law.

18. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Unless applicable law requires otherwise, disputes that cannot be resolved informally may be brought in a court of competent jurisdiction in Texas associated with the Red River Steakhouse location or transaction involved.

Nothing in these Terms prevents a consumer from exercising rights or remedies available under applicable consumer-protection law.

19. Changes to These Terms

We may update these Terms periodically to reflect changes in our Services, business practices, or legal obligations.

The revised Terms will be posted with an updated “Last Updated” date.

Changes will apply prospectively unless applicable law permits otherwise.

Material changes affecting an existing confirmed catering agreement will not alter that agreement unless the parties agree or applicable law requires the change.

20. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

21. No Waiver

Failure to enforce a provision of these Terms does not waive our right to enforce it later.
